Trading Terms

1.Documentation:

Sea Freight - All shipping documents should be delivered to Perseus Forwarders at Mombasa five (5) working days prior to vessel arrival. Port penalties Customs warehouse Rent, Shipping lines Demurrage and other related third-party charges, which may arise due to late submission or errors in the documents will be on a/c of cargo owner.

Air Freight - All shipping documents should accompany the flight and be received by Perseus Forwarders upon arrival of the goods at airport. Airport penalties, Airline shed storage and other related third-party charges, which may arise due to late submission or errors in the documents will be on a/c of cargo owner.

Land Freight - All shipping documents should be received by Perseus Forwarders two (2) days prior to truck booking. Truck detention charges and other related third-party charges, which may arise due to late submission or errors in the documents will be on a/c of cargo owner.

2.Third party charges: Where third party charges increase without notice to us, we reserve the right to vary our quotation with or without notice. All third-party charges paid on behalf of the client will be subject to a 10% disbursement fee.

3.Container Demurrage: It will apply as per shipping lines invoice outlays.

4.Interest: The company shall charge interest on all outstanding balances due from its customers at a monthly interest fee of 3%. The expression “OUTSTANDING BALANCE” shall mean all or any outstanding balance or parts thereof remaining unpaid to the company.

5.Unpaid Account: The company shall have a general as well as particular lien on all goods for unpaid accounts.

6.Force Majeure: The Company shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster) war, invasion, act of foreign enemies, hostilities, (whether war is declared or not) civil war, rebellion, revolution, insurrection, military or usurped power of confiscation, terrorist activities, nationalization, government sanction, blockage, life threatening situation, protests, riots, threats, embargo labor dispute, strike, political motivation, lockout or interruption or failure of electricity.

7.Transport/Weight Regulation: Goods are loaded subject to the axle loads and gross vehicle weights as per the Ministry of Road and Public Works regulations. All rates quoted are based on the current Road & Rail Transport regulations prevailing.

8.Site Readiness: Receiver is to ensure site can be reached safely. Road surveys can be done in advance at a cost to be advised.

9.Cargo Description: Client must provide accurate technical diagrams demonstrating weights and dimensions of cargo to be transported.  Any change of dimensions or weights provided by the client may result in a wrong information charge. Over weight penalties are extra and exclusive of quoted rates, all extra charges will be officially receipted.

10.Load Capacity: Truck rates are based on a minimum loading capacity of 28t. Any short-loaded trucks will be invoiced 28t.

11.Terms of carriage: Goods are handled at owners’ risk but insurance may be effected on receipt of written instructions from the cargo owner and charged in addition to quoted rates.

12.Statutory charges / fuel prices: Prices are quoted based on current fuel prices and statutory charges (port/customs charges, road tolls etc.). Any fluctuation in these may require a rate revision without notice.

13.Additional Charges: Additional charges resulting of situations out of Perseus Forwarders direct control will be on account of cargo owner. Additional charges include but are not limited to Airport storage (at cost with official receipt), Port storage (at cost with official receipt), CFS / ICD storage (at cost with official receipt) and Truck waiting charges ($150 per day per semi trailer & $250 per day per low bed) are to be paid upfront upon receiving Perseus Forwarders Invoice. Perseus Forwarders retain the right to hold on delivery of the cargo until all additional charges are paid by cargo owner. Additional charges resulting of holding delivery of the cargo will as well be on account of cargo owner and to be paid upfront.

14.Currency Fluctuation: The contractual price expressed in USD are converted on the basis of the official exchange rate at the date of signature of the contract.
